Why have a Nominee Director / Shareholder |
All UK registered companies require a named person to act as first director and disclose their personal information; name, address, date of birth etc, for some individuals who need to keep their identity out of the public domain this could prove to be a problem when registering the company, and that’s where our services come into effect, we will appoint our named nominee director allowing you to maintain complete anonymity. |

What about opening a business bank account ? |
The nominee service you have purchased does not provide assistance with opening a business account, nor will we provide any form of identification from the nominee direct to the beneficial owner (rightful owner of the Company). So how can you get a business account ? You have 4 options. |
1 |
Assuming you have good credit |
Most customers choose to open a business bank account themselves; the success rate is very high 95%. We understand the following process is similar with most high street banks.
|
Beneficial Owner (BO) contacts their local branch in the same way had they been appointed directors, if this is Barclays (recommended) then we can arrange the appointment for you, and advise they are using a nominated director, the bank will usually request the nominee present their ID at a local branch, this includes the nominee arranging an appointment with the branch, completing a mandate with some personal details, and authorising the BO as the ONLY signatory on the account, the branch fax/post this information direct to YOUR local branch, and your branch manager, in most instances approves the account.
|
This service is not inclusive of your package, and due to the high risk eliment the nomminee fee is £295 (currently £199). Note you will need reasonably good credit for this type of account, in much the same way as you would for any high street account. |
2 |
Assuming you have poor credit
This is a slightly more problematic scenario, however there are a few online banking institutions where poor credit is not an issue, we would be happy to advise on request which are the most attainable. Some of the online accounts are excellent, no awkward bank visit, no presenting ID in person, no lengthy business plans, few or no transaction charges, and virtually all types of poor credit is accepted. Draw backs; none of the online accounts provide cheque accounts, thus you cannot accept cheque's or pay cheque's out, though some accounts will accept cash, and all have online banking, standing orders, direct debits etc and some even provide overdraft facilities. |
|
Control over the Company |
Power of attorney |
The beneficial owner retains complete control over the company, however situations will arise where you will be required to prove ownership, this is where the Power of Attorney (PoA) is invaluable. Our nominee director will draft and sign a legal binding PoA document and post it direct to the beneficial owner. This is a private agreement showing that you have control over the company's affairs and the normal director duties of the company. This ensures that the true owner of the company is empowered to run the business and manage the company's affairs.
Through the power of attorney there can be no misunderstanding with the legal ownership of the Company by prospective enquirers, because the PoA contains passport or drivers licence details of the beneficial owner, along with personal details of the nominee.
In some instances this is still not sufficient evidence for some enquirers, in these instances you will need to request a notarised copy of the PoA., this process entails the nominee visiting a notary public for verification of their signature, the fee for this service is £145. |
Registering your Company for VAT |
How can I register for VAT |
Again the package you have selected does not provide for this service, however following a review of your proposed Company activities we can add this service, our nominee will register you for VAT, their fee is £599, thereafter you can conduct your VAT returns online, neither the nominee nor our Firm will get involved in process your VAT returns. |
Service Renewal |
At any point during the contractual term the beneficial owner can choose to terminate the nominee service and appoint alternative director(s). Should you choose to continue the nominee appointment on the anniversary of the service simply pay the renewal invoice and the service will continue for a further 12 months. |
Document Signing |
We make a small charge for signing documents, single documents £15, document bundles £35, signing off accounts £75, signing VAT returns £75 + postage costs, you can include a pre-paid envelope for return of the documents. It should bve noted the nominee will not enter in to any contractual agreements, sign leases or be party to any finanicial or other similar contracts. For scanning documents, call or email our office for details. . |
Legal Stuff |
NB: The above information is general and is intended as a summary only. Clients should seek further clarification if required before deciding if they wish to engage nominee directors. We expressly reserve the right to provide this service to anyone for any reason. We specifically will not provide this service to corporations with a payroll or who may have excise tax or major credit obligations. |
|
We do not issue a nominees ID, should the need arise whereby you need to prove the directors appointment we can apply for a Certificate of Good Standing, this document is stamped and signed by a Companies House official. The fee for this service is £30 including CH fees. Alternatively we can arrange for a notary to verify the power of attorney fees apply. |
|
This appointment will not sign on a business account nor enter into any contractual agreement, if you require notarised Power of Attorney the fee is £199 and £226 for notarisation and apostille. |
|
